1. Introduction

These Terms & Conditions ("Terms") govern the provision of cleaning and maintenance services by ES Northampton Ltd to business clients and organisations. These Terms apply exclusively to B2B (business-to-business) service arrangements.

IMPORTANT: These services are provided exclusively to businesses and organisations. Consumer rights do not apply to these commercial arrangements.

2. Service Provision

ES Northampton Ltd provides industrial and commercial cleaning services as agreed in writing. Services will be delivered in accordance with:

• The scope of work specified in the written quotation and contract
• Relevant health and safety legislation and standards
• Industry best practices
• Our Health & Safety procedures and Method Statements

3. Contracts and Quotations

• All quotations are valid for 30 days unless otherwise specified
• A written contract is required for all services. Services commence upon written confirmation
• Variation to agreed services must be requested in writing and incur additional charges as quoted

4. Pricing and Payment

• Pricing is as stated in the agreed quotation/invoice
• Payment terms are typically Net 30 unless otherwise agreed in writing
• Payment must be made by the due date specified on the invoice
• Late payment may result in suspension of services and recovery costs
• Prices are subject to change with 30 days' written notice

5. Contract Duration and Termination

• Initial contract terms are as specified in the quotation
• Either party may terminate with [30/60/90] days' written notice (as per agreement)
• Immediate termination may occur if either party breaches material terms
• Upon termination, all outstanding invoices remain due and payable

6. Cancellation and Postponement

7. Liability and Limitations

• Our total liability for any claim arising from these Terms shall not exceed the contract value
• We are not liable for indirect, consequential, or special damages (including loss of profits, revenue, or data)
• We are not liable for damage to client property unless caused by our negligence
• Clients must ensure their facilities are safe for our personnel to access and work within

8. Insurance

ES Northampton Ltd maintains comprehensive insurance including Public Liability and Employers Liability. Proof of insurance is available upon request.

9. Health and Safety

• The client must provide safe access to the facility and notify us of any hazards
• The client remains responsible for facility safety outside our service areas
• Our staff follow strict H&S protocols; clients must facilitate compliance
• We reserve the right to refuse work if safe conditions cannot be achieved

10. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information disclosed during the provision of services, except where required by law.

11. Indemnity

The client indemnifies ES Northampton Ltd against claims arising from the client's breach of these Terms or misuse of our services.

12. Governing Law

These Terms are governed by English law and any disputes shall be subject to the exclusive jurisdiction of English courts.
